A Message from Eden Information Services

To help Eden Information Services suppliers understand the Eden Information Services commitment to unyielding Integrity and the standards of business conduct that all Eden Information Services suppliers must meet, Eden Information Services has prepared this Eden Information Services Integrity Guide for Suppliers, Contractors and Consultants.

The Guide is divided into four sections:

Suppliers should carefully review this Guide, including but not limited to the section, Responsibilities of Eden Information Services Suppliers. Suppliers are responsible for ensuring that they and their employees, representatives and sub-suppliers comply with the standards of conduct required of Eden Information Services suppliers

1. Eden Information Services Code of Conduct

Eden Information Services commitment to total, unyielding Integrity is set forth in the Company's Compliance Handbook, Integrity: The Spirit and The Letter of Our Commitment. The policies set forth in the Spirit Letter govern the conduct of all Eden Information  Services employees and are supplemented by compliance procedures and guidelines adopted by Eden Information  Services components. All Eden Information  Services employees must not only comply with the “letter” of the Company’s compliance policies, but also with their “spirit.”

The spirit of Eden Information Services's Integrity commitment is set forth in the Eden Information Services Code of Conduct, which each Eden Information Services employee has made a personal commitment to follow:

No matter how high the stakes, no matter how great the stretch,we will do business only by lawful and ethical means. When working with customers and suppliers in every aspect of our business, we will not compromise our commitment to integrity.

2. Eden Information  Services Compliance Obligations

All Eden Information  Services employees are obligated to comply with the requirements — the “letter”— of the Company’s compliance policies set forth in the Spirit & Letter. These policies implement the Eden Information  Services Code of Conduct and are supplemented by compliance procedures and guidelines adopted by Eden Information  Services components. A summary of some of the key compliance obligations of Eden Information  Services employees follows:

IMPROPER PAYMENTS INTERNATIONAL TRADE CONTROLS MONEY LAUNDERING PREVENTION PRIVACY SUPPLIER RELATIONSHIPS COMPLYING WITH COMPETITION LAWS ENVIRONMENT, HEALTH & SAFETY FAIR EMPLOYMENT PRACTICES CONFLICTS OF INTEREST CONTROLLERSHIP INSIDER TRADING OR DEALING & STOCK TIPPING INTELLECTUAL PROPERTY

3. Responsibilities of Eden Information Services Suppliers

Eden Information Services will only do business with suppliers that comply with applicable legal requirements. Suppliers that transact business with Eden Information  Services are expected to not only comply with their contractual obligations under any purchase order or agreement with Eden Information  Services, but also adhere to standards of business conduct consistent with those described in this section of the Guide. A supplier commitment to full compliance with these standards is the foundation of a mutually beneficial business relationship with Eden Information Services.

The foregoing standards are subject to modification in the discretion of Eden Information  Services. Please contact the Eden Information  Services management you work with or any Eden Information  Services Compliance Resource if you have any questions about these standards and/or their application to particular circumstances. Each Eden Information  Services supplier is responsible for ensuring that the supplier and its employees and representatives understand and comply with these standards. Eden Information  Services will only do business with those suppliers that comply with applicable legal requirements and reserves the right, based on its assessment of information then available to Eden Information  Services, to terminate, without liability to Eden Information  Services, any pending purchase order or contract with any supplier that does not comply with the standards set forth in this section of the Guide.

4. How to Raise an Integrity Concern

Each Eden Information  Services supplier is expected to promptly inform Eden Information  Services of any Integrity concern involving or affecting Eden Information  Services, whether or not the concern involves the supplier, as soon as the supplier has knowledge of such Integrity concern. A Eden Information  Services supplier shall also take such steps as Eden Information  Services may reasonably request to assist Eden Information  Services in the investigation of any Integrity concern involving Eden Information  Services and the supplier. An Integrity concern may be raised by a Eden Information  Services supplier with Eden Information  Services management.
